1. Licensing

The Company grants you a limited, nonexclusive and nontransferable license to download, install and use the Application for your device that you own or control ("Device") strictly in accordance with this Agreement. You shall bear your own costs and expenses (including but not limited to all the related communication fees) incurred in connection with this Agreement.

2. Forbidden acts and Restrictions

2.1 You shall not or shall not allow a third party to:

       (1) copy, revise, modify or translate the whole or a part of the Application;
       (2) reverse engineer, disassemble, decompile, decode or otherwise attempt
             to derive or gain access to the source code of the Application or any part thereof;
       (3) rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer or otherwise make
             available the Application or any features or functionality of the Application, to any third party
             for any reason, including by making the Application available on a network where
             it is capable of being accessed by more than one device at any time;
       (4) interpolate or delete the contents which are available from the Application; or
       (5) use the Application beyond the scope of this Agreement.

2.2 You shall be strictly forbidden or shall not allow a third party to do any acts as follows;

       (1) Any act to discriminate, detract from the Company, its licensors or others,
             or destroy their honor and credibility;
       (2) Infringing the copyrights, trademarks and other intellectual property rights of the Company,
             its licensors or others;
       (3) Infringing the property, privacy or the right of portrait of the Company, its licensors or others;
       (4) Any act to discriminate, detract from the Company, its licensors or other users,
             or destroy their honor and credibility;
       (5) Using the Application to impersonate other users;
       (6) Use or provision of harmful programs such as computer virus by accident or design;
       (7) Hampering the operations of services or equipments managed by others such as servers;
       (8) Transmission or carrying images, documents, etc. that fall within the purview of obscenity,
             child pornography or child abuse;
       (9) Transmitting advertising or solicitous mail to others without first securing permission;
     (10) Setting up an endless money chain club or soliciting membership in one;
     (11) Any criminal act such as fraud;
     (12) Illegal acts or those that run counter to public order and morals (such as prostitution,
             violence, atrocity), or acts that put others at a disadvantage; or
     (13) Any other acts judged inappropriate by the Company.

3. Privacy Policy

If you use the HIBUN Data Protection service, you agree that the Company may collect and use your information that is gathered automatically to facilitate the provision of the Application as below. You shall refer to the Company's privacy policy on http://www.hitachi-solutions.co.jp/app/ ("Policy"). The Policy is a part of this Agreement.
       (a) The Information the Company collects
          : The information about the Device (IP address, Windows Account name, domain name,
            computer name, and location information).
       (b) The Usage Purpose
          : To provide contractor of the HIBUN Data Protection service with the Application execution
            records.
       (c) The Collection Method
          : Gathered automatically when using the Application.
       (d) Storage Location
          : The contracted server based on a separate agreement between End User and the Company.
       (e) Provision to Third Parties
          : Not provided.
       (f) The Information about the party which collects End User's information
          : Hitachi Solutions, Ltd.

4. LIMITATIONS OF LIABILITY.

THE APPLICATION IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE COMPANY AND ITS LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES, LOSSES, EXPENSES OR OTHER LIABILITY IN CONNECTION WITH THIS AGREEMENT, OR ARISING FROM YOUR USE OR INABILITY TO USE THE APPLICATION OR ANY CONTENTS WHICH ARE AVAILABLE FROM THE APPLICATION.

5. Export Control

If you directly or indirectly handle all or part of the Application independently, in conjunction with another product, or as a part of any other product through any of the following means, all necessary steps shall be taken upon verification with the rules of the Foreign Exchange and Foreign Trade Act of Japan, Export Administration Regulations of the US, and any other applicable Japanese or foreign export related regulations:
       (1) By exporting;
       (2) By taking to a foreign country;
       (3) By supplying to or allowing use by a non-resident; or
       (4) By any other way set forth in the Foreign Exchange and Foreign Trade Act of Japan,
             or the export related regulations of a foreign country that is not as provided in (1),
             (2) and (3) of this Section.

6. Amendments or Termination

6.1 The Company may amend or terminate the whole or a part of this Agreement without your consent at any time for any reason. In this case, the Company will post such amendments or termination on its website or by an equivalent method. It is your responsibility to review the Company's website periodically for such amendments or termination, which shall come into effect when posted. You will be deemed to have accepted such amendments or termination after they are posted.

6.2 In case that you breach this Agreement, the Company may immediately terminate this Agreement and your use of the Application without issuing any notice to remedy.

6.3 You may voluntarily terminate this Agreement and your use of the Application at any time by uninstalling the Application.

7. Effects of Termination

In the event of termination of this Agreement, you shall immediately cease accessing and using the Application, and immediately uninstall it from the Device or initialize the Device.

8. Anti-social Forces Exclusion.

You shall represent and warrant that none of the following items apply to you either now or in the future. In the event that you
breach any of such representations or warranties, the Company may terminate this Agreement and make a claim for damages
against you. Further, the Company shall not be liable for your damages arising from such termination.
       (1) You are or were a crime syndicate [boryokudan], crime syndicate member, crime syndicated
             affiliated organization, shareholders meeting racketeer [sokaiya], social movement advocate
             grounder [shakaiundouhyobogoro - a kind of extortionist group], special intelligence
             crime organizations [tokushuchinoboryokudantai] or a related party (hereinafter collectively,
             "Anti-social Forces").
       (2) You manage or control Anti-social Forces.
       (3) Your representatives, responsible persons or personnel involved in substantive management
             authority are Anti-social Forces.
       (4) You have been acknowledged to have used Anti-social Forces to use them in furtherance of
             dishonest/unjust benefit for yourself or a third party.
       (5) You have been acknowledged to have either provided capital, etc. to Anti-social Forces or
             to provide profits to Anti-social Forces to suit their convenience.
       (6) You have close relations with Anti-social Forces.
       (7) You have made unjust requests violently or exceeding legal responsibility.
       (8) You have used extortionist speech or used violent acts.
       (9) You have damaged the other party's reputation or interfered with your business by spreading
             rumors, employing deceptive plans or using intimidation.

9. Survival

The provisions of Section2, Section3, Section4, Section5, Section7, Section8 and Section10 shall survive expiration or termination of this Agreement.

10. Governing Law and Dispute Resolution

This Agreement shall be governed and construed by the laws of Japan. All disputes, controversies or differences that may arise between the parties hereto out of, in relation to or in connection with this Agreement shall be finally settled by arbitration in Tokyo, Japan in accordance with the Commercial Arbitration Rules of the Japan Commercial Arbitration Association. The award rendered by the arbitrator(s) shall be final and binding upon the parties hereto.
